Terms of Service

1. Introduction and Acceptance

By accessing or using SBwiser you agree to be bound by these Terms of Service. If you do not agree, do not use the service. SBwiser is operated by SBwiser Inc., located in Ontario, Canada. These terms constitute a binding legal agreement between you and SBwiser.

2. Description of Service

SBwiser is an AI-powered project guidance tool that helps small business owners plan and execute their projects. The service includes AI-assisted conversations, structured project phases, document generation, PDF binder export, and project archiving features.

SBwiser is a planning and guidance tool only. It does not provide legal, financial, accounting, or any other form of professional advice. Nothing in the service constitutes a professional advisory relationship.

3. Account Registration and Eligibility

• You must be at least 18 years of age to use SBwiser.
• You must provide accurate, current, and complete information when registering.
• You are responsible for maintaining the security of your account credentials. Notify us immediately if you suspect unauthorized access.
• Each account is for one individual user. You may not share your account or create multiple accounts for the same person.

4. Subscription and Payment Terms

SBwiser offers the following purchase options:

• Per-project plans: Available in 3, 6, 9, and 12-month durations. Each plan covers one project. The plan duration begins when you initiate your first project under that plan, not at the time of purchase.
• Annual subscription: Covers unlimited projects for one year. Renews automatically each year unless cancelled before the renewal date. You may cancel your annual subscription at any time through your Account Settings or by contacting us. Cancellation takes effect at the end of the current billing period.
• Add-ons: Optional features including Binder Download, Archive at SBwiser, and 3-month extensions. Add-ons are non-transferable and apply to specific projects.

All payments are processed securely by Stripe. All prices are in USD. Annual subscription purchases may be eligible for a prorated refund within 14 days of purchase if no projects have been started. Per-project plans and add-ons are non-refundable except as required by applicable law. If you have a billing concern, please contact us and we will do our best to assist.

5. Intellectual Property

SBwiser and all of its content, features, functionality, branding, and underlying technology are owned by the operator and protected by applicable intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the service without written permission.

Content you create during your project remains your intellectual property. By using the service, you grant SBwiser a limited, non-exclusive license to store and process your content solely to provide the service to you.

6. Acceptable Use

You agree not to use SBwiser to:

• Violate any applicable law or regulation
• Harm, harass, or defraud other users or third parties
• Attempt to reverse engineer, decompile, or access the underlying technology of the service
• Resell, sublicense, or otherwise transfer access to the service
• Introduce malicious code, viruses, or any harmful software
• Use the service in any way that could damage, disable, or impair its operation

7. AI-Generated Content Disclaimer

SBwiser uses artificial intelligence to assist with project planning. AI-generated content is provided for guidance purposes only. It may not always be accurate, complete, or appropriate for your specific situation. AI guidance does not substitute for professional advice.

You should exercise your own judgment and consult qualified professionals (including lawyers, accountants, and financial advisors) before making significant business decisions. SBwiser is not responsible for any decisions you make based on AI-generated content.

8. Limitation of Liability

To the maximum extent permitted by applicable law, SBwiser's total liability to you for any claim arising out of or relating to these terms or the service is limited to the amount you paid to SBwiser in the twelve (12) months preceding the event giving rise to the claim.

SBwiser is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

9. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied. SBwiser does not warrant that the service will be uninterrupted, error-free, secure, or that any results obtained will be accurate or reliable. Your use of the service is at your own risk.

10. Termination

SBwiser may suspend or terminate your account at any time if you violate these terms. You may cancel your account at any time by contacting us.

Upon termination, your access to the service ends immediately. Your project data will be retained for 90 days after the end of your plan or account closure before being permanently deleted, unless you have purchased the Archive add-on, in which case your archived projects are retained indefinitely.

11. Governing Law and Dispute Resolution

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Users located in the United States agree that any dispute arising from or relating to these terms or the service will be resolved through binding arbitration on an individual basis, rather than through court proceedings or class actions, except for claims that qualify for small claims court.

12. Changes to Terms

SBwiser may update these terms at any time. For material changes, we will notify you by email with reasonable notice before the changes take effect. Your continued use of the service after changes are posted constitutes your acceptance of the updated terms.
